reseau operationnel canadien existant. Les projets couronnes de
succes seront subventionnes conformement a l'Annexe C "Memoire sur
l'etablissement des couts" jusqu'au 31 mars 1995.
CANARIE Inc. est un organisme sans but lucratif qui subventionne,
entre autres, les projets visant a ameliorer les capacites
d'utilisation du reseau operationnel canadien, de CA*net et des
reseaux regionaux connexes utilises par l'industrie et les
etablissements d'enseignement et de recherche du Canada.
Le Comite sur les produits et les services du reseau operationnel
(CPSRO) de Canarie Inc. a etabli comme priorite de financement le
developpement de capacites permettant de faciliter l'acces, la
presentation et l'echange d'information sur le reseau operationnel.
Les projets visant l'amelioration de l'acces aux utilisateurs eloignes
physiquement de centres possedant deja un acces aise au reseau
operationnel pourraient etre choisis en premier.
Deux categories generales ont ete priorisees : la capacite de fournir
de l'information et le developpement de produits pour la presentation
et l'interaction de l'information.
Capacite de fournir de l'information
Pour les sous-categories d'information suivantes, CANARIE Inc.
fournira une aide financiere pour le developpement et de la mise en
oeuvre d'une capacite de fournisseur d'information. Il est a noter
que CANARIE Inc. ne financera pas necessairement des projets ayant
trait a toutes ces categories et que les representants de CANARIE Inc.
considereront les projets de fourniture d'information qui pourraient
ne pas correspondre exactement aux sous-categories indiquees.

CANARIE Inc.
Operational Network Products / Services
February 1, 1994
1.0 Introduction
CANARIE Inc. invites proposals from Canadian organizations relating to
the following funding categories, as detailed in Appendix A,
"Statement of Work", and Appendix B, "Format of Bidder's Response",
for the existing Canadian operational network. Successful projects
will receive funding in accordance with Appendix C "Eligible Costs",
through to March 31, 1995.
CANARIE Inc. is a not for profit corporation providing funding for,
amongst others, projects relating to enhancing the use ability of the
Canadian operational network (CA*net and the associated regional
networks) for the research, industry, and education communities in
Canada.
The CANARIE Inc. Operational Network Product / Services (ONPS)
Committee has identified as a funding priority the development of
capabilities to facilitate the Access, Presentation, and Exchange of
Information on the operational network. Projects relating to
improving access to users geographically distant from centres with
readily available operational network access may be given priority.
Two general categories have been prioritized: Information Provider
Capability and Information Presentation / Interaction Product
Development. Projects may overlap the two general categories.
Information Provider Capability
For the following information sub-categories, CANARIE Inc. will
provide funding in support of developing and implementing an
information provider capability. Note that CANARIE Inc. will not
necessarily fund projects relating to all of these categories and that
CANARIE Inc. will consider information provider projects which may not
readily fit into any of the identified categories.

CANARIE Inc. will assist with the development of products which
enhance user access to and/or interaction with information available

numbering and section titles.

2.0 CANARIE Inc. Decision Final
The decision of CANARIE Inc. to award or not award funding to an
applicant under this Request for Proposal is final.
3.0 Operational Network Product / Service Development Funding
Under the auspices of the CANARIE Inc. Operational Network Product /
Services Committee, funding will be made available for the lesser of
eligible costs of projects identified in Appendix A, "Statement of
Work" as determined in accordance with the costing memorandum attached
hereto as Appendix B, "Costing Memorandum", and $800,000.
4.0 Clauses to be Incorporated Resultant Contract(s)
4.1 Contract Termination Date
The obligation of CANARIE Inc. to contribute shall terminate on March
31, 1995.
4.2 Interoperability with Operational Network
It is a condition of CANARIE Inc. that the development of information
technologies which are not supportable on or interoperable with the
operational network (CA*net and the associated regional networks) will
not be eligible for support.
4.3 Intellectual Property
Legal title to any Intellectual Property (including any technologies,
data, patents or inventions) which may be created, generated or
produced during or as a result of the performance of Projects under
the Operational Network Sub-Projects is to be vested with CANARIE Inc.
unless otherwise negotiated with CANARIE Inc.
Successful applicants may enter negotiations with CANARIE Inc. to
secure licensing agreements.
4.4 Transfer of Intellectual Property
CANARIE Inc. recognizes and encourages the non-confidential
publication of research results from activities which are funded in
whole or in part by CANARIE Inc.. The non-confidential publication of
such results shall be permitted six (6) months after the results have
been made available to Members on a confidential basis, and upon
approval by CANARIE Inc.
4.5 CANARIE Recognition
Any publication arising from projects funded in whole or in part by
CANARIE Inc. shall cite CANARIE Inc. as a source of funding and
support for the project.
Appendix A - Statement of Work
The following statement of work provides a general description of work
to be carried out relating to the development of new products and
services as applicable to the operational network.
The CANARIE Inc. Operational Network Product / Services (ONPS)
Committee has identified as a funding priority the development of
capabilities to facilitate the Access, Presentation, and Exchange of
Information on the operational network. Projects relating to
improving access to users geographically distant from centres with
readily available operational network access may be given priority.

Appendix C - Costing Memorandum
1. Direct Labour
1.1 Direct salaries and wages paid by the Lead Contractor to the
following groups are eligible at the rates shown in payroll documents:
Scientists, engineers, technicians, technical writers,
draughtsmen, laboratory and experimental shop labour, analysts,
programmers and technical personnel conducting the Sub-Project.
1.2 The salaries of management and administrative staff directly
attributable to a Sub-Project when qualified senior management work on
the Sub-Project, are eligible at a rate not greater than that of the
highest paid functional engineer or scientist in the company or
organization.
1.3 Time sheets or time logs for labour claimed should be
available for audit purposes.
1.4 Actual fringe benefits up to a maximum of 15% of eligible
direct labour costs may be added to the direct labour claim.
1.5 Labour costs may include payment made to universities to
release researchers from full or partial teaching responsibilities so
they can participate in an eligible CANARIE Sub-Project provided that
the salaries of such faculty are not part of any billing to CANARIE
Inc. In each Sub-Project, the maximum eligible cost is $25,000 a year
per researcher.
2. Overhead
2.1 Actual overhead costs will be eligible up to a maximum of
100% of eligible direct labour costs excluding fringe benefits for
Sub-Project work performed by corporations, and up to a maximum of 65%
of eligible direct labour costs excluding fringe benefits for work
performed by universities and colleges. Overhead costs applicable to
research centres will be negotiated for each Sub-Project.
3. Direct Materials
3.1 All materials and components needed to produce models,
prototypes, including the testing materials, referred to in the
Statement of Work are eligible.
3.2 Indirect materials are eligible to the extent they are
specifically identified in the approved Project Plan as described in
article 10.2 of the Agreement.
3.3 Where excess materials are required, the claim is to be
reduced accordingly.
4. Sub-Contractors and Consultants
4.1 If the Lead Contractor requires the services of consultants
to advance a Sub-Project, CANARIE Inc.'s prior approval in writing
must be obtained for consulting fees to the Lead Contractor which will
be $25,000 or more.
4.2 CANARIE Inc.'s prior approval in writing is also required
when foreign consultants or foreign sub-contractors are to be employed
during Sub-Projects.
5. Special Purpose Equipment
5.1 Special purpose equipment is equipment purchased primarily
for a Sub-Project, as identified in the Statement of Work, that will
have little or no continuing use after the work is completed. Special
purpose equipment includes test apparatus and computer facilities
(hardware and software).
5.2 If special purpose equipment, which was not previously
identified in the Business Plan, has to be acquired during the
project, its purchase must be approved in writing by CANARIE Inc.
prior to procurement when costs amount to $25,000 or more.
5.3 The cost of special purpose equipment required will not
exceed 25% of the total of all eligible Sub-Project costs.
5.4 Special equipment purchased from an Affiliate is to exclude
any overhead or re-evaluation. Depreciated cost, as determined in
accordance with generally accepted accounting principles, will be
acceptable for used special purpose equipment.
5.5 Where payments are made during a Sub-Project for equipment
purchased by means of a capital lease, the interest portion,
calculated in accordance with the CICA Handbook, is to be excluded.
5.6 At the end of a Sub-Project, the lesser of the residual
market value of the special purpose equipment or the contribution
towards that equipment, is recoverable by CANARIE Inc. unless it is
donated to a Canadian university or college, or was used at a Canadian
university or college participating in the Sub-Project, in which case
the equipment will become the property of the university or college
concerned. If a university or college resells the equipment within
five (5) years after the Sub-Project has ended or the transfer has
occurred, the lesser of the proceeds of the sale or the contribution
toward that equipment accrues to CANARIE Inc..
6. Testing Costs
6.1 Test and evaluation of prototypes, including Beta testing,
are eligible.
7. Training
7.1 Tuition fees and related costs for special training through
attendance of courses, conferences, seminars and similar events,
dealing with topics and subject matter directly related to the
Sub-Project and necessary to advance the research activities. This
type of eligible cost will not exceed $20,000 per Sub-Project.
8. Travel
8.1 Travel costs essential for the performance of a Sub-Project
or exploitation of the results are eligible as per approved Treasury
Board rates. The purpose of the trip and the company or persons
visited must be recorded on the claims.
9. Patents
9.1 Costs of patents and copyright searches and filing in
Canada, the United States or Mexico are eligible for property
developed in a Sub-Project.
9.2 Prior CANARIE Inc.'s approval in writing is needed for
patent costs outside of Canada, the United States or Mexico.
10. Rentals
10.1 Costs of renting equipment essential to a Sub-Project are
eligible.
10.2 If the equipment is supplied by a Member of CANARIE Inc.,
the amount charged would the normal commercial rate at which
comparable equipment is available less the company's or organization's
normal gross profit on rentals.
11. Audit Costs
11.1 Each Sub-Project will require audits by CANARIE Inc.'s
external auditor. The audit's costs as a result of requirements
imposed by CANARIE Inc. are eligible.
12. Other Costs
12.1 Costs toward defining or refining the specifications of the
technology, product or process under development or for assessing the
prospects of exploiting them commercially may be eligible if specified
in the Project Plan and incurred after the commencement date of the
Sub-Project. Such costs must not exceed 5% of the total eligible
costs.
13. In-Kind Expenditures
13.1 Generally, in-kind expenditures are not considered eligible
costs, however, under extraordinary circumstances the CANARIE Inc. may
consider the following goods and services as eligible in-kind
expenditures provided they do not exceed 10% of the total eligible
costs:
1) Donations of equipment and materials can be considered as
in-kind expenditures. They must be reasonable and will be calculated
on the basis of the lesser of fair market value or of the depreciated
book value in accordance with generally accepted accounting principles
of the donor. An accurate description of the donated equipment or
materials must be provided.
2) Donations of space necessary for the Lead Contractor or
another Participant to conduct the Sub-Project can be claimed as
in-kind expenditures, at a cost not exceeding the fair market value:
i.e. the cost per square foot for similar accommodation in the area.
3) Costs of shared utilities, maintenance of facilities,
computer services, rentals and insurance, based on usage, are
admissible as in-kind expenditures. They can be charged at actual
costs supported by appropriate evidence.
4) Sub-contracting or consulting fees are admissible as in-kind
expenditures if the sub-contractor or consultant is providing specific
services for a specific Sub-Project for which the Lead Contractor or a
Participant would otherwise have to pay. The claim must be
accompanied by documentation on the duties performed by the
sub-contractor or consultant. The fees charged as in-kind
expenditures must be reasonable and must not exceed market value.
5) The costs to the donor organization for salaries and fringe
benefits are eligible as in-kind expenditures at the highest rate
permitted for non-management personnel in the same, or most similar
category.
6) Actual and reasonable travel and accommodation costs
incurred while on business for the Sub-Project, and supported by
appropriate vouchers, are eligible as in-kind expenditures.
13.2 The following in-kind expenditures, under no circumstances,
will be considered eligible:
1) All remunerations or fees paid to the Board of Directors;
2) Training for staff listed on the payroll of the Lead
Contractors, Research Centres or Universities which is provided free
of charge to the employee and the aforementioned applicants, including
attendance at conferences and seminars;
3) Opportunity costs; and
4) Donations in the form of knowledge, goodwill and other such
intangibles.
14. General Non-Eligible Costs
14.1 The following costs are not eligible.
1) repairs and maintenance except repairs of special purpose
equipment acquired during the Sub-Project;
2) salaries and benefits of university faculty where the work
performed takes place on university premises;
3) other legal fees (unless they are directly associated with
drawing up research contracts);
4) other professional fees (unless they are directly associated
with the management of the Sub-Project with the exception of CANARIE
Inc. membership fees);
5) trade marks;
6) patents outside Canada, United States, or Mexico unless
prior approval in writing by the Department;
7) promotion and sales activity travel;
8) interest portion for equipment purchased by means of a
capital lease;
9) utilities;
10) user manuals except first drafts and essential technical
documentation;
11) administrative expenses;
12) federal and provincial income tax;
13) fines;
14) costs related to the prosecution of claims against the
government;
15) costs of equipment except as allowed in article 5 of this
memorandum;
16) land; and
17) buildings.
14.2 Costs incurred prior to the effective date of a
Sub-Agreement for a specific Sub-Project are not eligible.
