It sounds to me like the xterm is paying attention to FocusIn and
FocusOut events sent to it by the window manager or by the X Server (I
forget which), while emacs is behaving badly and paying attention to
EnterWindow and LeaveWindow events instead.
I will forward your bug report to bug-emacs for consideration.
