Did you configure the kernel to look for the card by editing the
linux/drivers/net/CONFIG file or if you booting by lilo or loadlin, entering
the ether=<IRQ>,0x<ioaddress of the card>,0x<address of sharded
memory>,eth0?
BTW, you might want to look in the FAQs about the ethernet and network
setups.
