I'd get Donald Beckers newest 21040 driver at:
http://cesdis.gsfc.nasa.gov/linux/drivers/tulip.html
It requires some minor tweaks to work with kernels newer then 1.3.3X or
so.
It autodetect the interface, and if you don't like that you can
set which interface it tries first (to avoid the timeout).
I have it working with 1.3.36 on thin ethernet.
