intent to acquire KYIVENERGOMAFH ("KYG"), a company which specializes in
providing electric infrastructure, technology, and software that provides
connectivity to the Ukraine national electric grid system. KYG provides
electricity to commercial, residential and industrial regions in seven =
states in
the Ukraine. KYG's unaudited financial statements for its 2004 fiscal year =
show
approximately 2 million dollars in revenues, with after tax income of
approximately 575,000 thousand dollars(US). KYG's financial statements =
will be
audited prior to closing of the proposed merger, which is expected to =
