the state of incorporation is typically a nonissue. delaware is used
frequently as a matter of convenience.  as i remember the benefits
include very efficient incorporation, no directors or officers need be
resident in the state, lots of lawyers willing to act as agent for
service, and limited director's liability.  (but i'm not a lawyer...)

(i would be more worried if they were flying the liberian flag...)
