ACADEMIC USE LICENSE AGREEMENT
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE PROGRAMS INCLUDED ON THE
"IBM OBJECTS ON CAMPUS" CD-ROM. IBM WILL ONLY LICENSE THESE PROGRAMS TO YOU IF
YOU FIRST AGREE TO ACCEPT THE TERMS OF THIS AGREEMENT. BY USING THESE PROGRAMS,
YOU AGREE TO ABIDE BY THESE TERMS AND APPLICABLE COPYRIGHT LAWS. IF YOU DO NOT
AGREE, PROMPTLY NOTIFY IBM AND RETURN THE PROGRAMS TO US.
The terms of this Agreement apply to each Program that you install from the "IBM
Objects on Campus" CD-ROM.
The Program is owned by International Business Machines Corporation or its
subsidiaries (IBM) or IBM's suppliers, and is copyrighted and licensed, not sold.
The term "Program" means the original program and all whole or partial copies of
it, including portions merged into other programs. A Program consists of machine
readable instructions, audio/visual content (such as images, text, recordings or
pictures) and related licensed materials (such as documentation and technical
reference manuals).
IBM grants you a nonexclusive license for the Program. IBM provides the Program
to you, free of charge, to be used solely under the terms of this Agreement.
1. License
1.1. You may use the Program on only one machine at any one time, except as
otherwise stated in this section. You may 1) copy the Program for backup,
and 2) merge the Program into another program. You agree to ensure that
anyone who uses the Program (accessed either locally or remotely) does so
only for your authorized use and complies with the terms of this
Agreement.
1.2. The Program must be used in direct support of your academic instruction
activities. This includes, but is not limited to, exercises, projects and
other design or programming activities related to a scheduled
undergraduate or graduate course offering. The Program may not be used to
perform services for a fee, or for the development of productive or
commercial software for internal or external use.
1.3. IBM authorizes you to make sufficient copies of the Program to support
your activities under this Agreement. IBM also authorizes you to provide
copies of the Program to your students for classroom use who are enrolled
in a course which uses the Program. In addition, students are permitted
to use the Program on a single workstation at their residence only while
enrolled in, and only for the purposes of, such courses.
You must keep appropriate records of the number and location of any copies
made, which will be made available to IBM upon request. These copies are
subject to all of the terms and conditions of this Agreement.
You must reproduce the copyright notice(s) and any other notice of
ownership on each copy, or partial copy, of the Program.
1.4. You may not:
(1) use, copy, merge, or transfer the Program except as provided in this
Agreement;
(2) reverse assemble, reverse compile, or otherwise translate the
Program except as specifically permitted by law without the
possibility of contractual waiver; or
(3) sublicense, rent, or lease the Program.
2. Disclaimer of Warranties
THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS. IBM MAKES NO WARRANTY REGARDING THE
PROGRAM, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
These warranties give you specific legal rights, and you may also have other
rights which vary from jurisdiction to jurisdiction. Some jurisdictions do not
allow the exclusion of implied warranties, so the above exclusion may not apply
to you.
3. Limitation of Liability
Other than claims for bodily injury or damage to real or tangible personal
property for which IBM is legally liable, IBM will have no liability to you for
any claim whatsoever, including claims for 1) loss of, or damage to, your
records or data or 2) any damages claimed by you based on any third party claim.
The foregoing limitation will apply to any claim (including fundamental breach)
regardless of the basis on which you may be entitled to recover damages from IBM.
IBM WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST SAVINGS, INCIDENTAL, SPECIAL,
OR INDIRECT DAMAGES OR OTHER ECONOMIC CONSEQUENTIAL DAMAGES, EVEN IF IBM HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE
EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
This limitation of liability also applies to any developer of a Program supplied
to IBM.
4. General
IBM, at its option, may solicit feedback from you with respect to the Program or
other aspects of this Agreement. With respect to any feedback that you provide
to IBM, you grant IBM a worldwide, non-exclusive, irrevocable, royalty-free right
to use, execute, display, copy, modify, prepare derivative works (including code,
documentation, or inventions), distribute and sublicense such feedback without
accounting.
You may terminate your license at any time. IBM may terminate your license
1) immediately if you fail to comply with the terms of this Agreement, or
2) otherwise upon thirty (30) days' written notice. If you or IBM terminates
your license, all your license rights to the Program are terminated and you must
destroy all your copies of it.
If any authority imposes a duty, tax, levy or fee (excluding those based on IBM's
net income) on the Program supplied by IBM under this Agreement, your agree to
pay that amount as IBM specifies or supply appropriate exemption documentation.
You agree to comply with all applicable export laws and regulations.
Neither party may bring a legal action under this Agreement more than two years
after the cause of action arose.
This Agreement is governed by the laws of the country in which you acquired the
Program except that:
1. if you acquired the Program in the United States, this Agreement is
governed by the laws of the State of New York; and
2. if you acquired the Program in Canada, this Agreement is governed by the
laws of the Province of Ontario.
