transparent panels

How do make a TRANSPARENT PANEL? 
* I paint background graphics in the default applet Panel. 
* I create a new panel, add some components to it, and add the new Panel to  
  the default applet Panel. 
* When the new Panel is painted over the default apple Panel, IT ALWAYS PAINTS  
  THE BACKGROUND GRAY.  I've tried to get around this - is the solution  
  obvious???   
How do I get the components in the new Panel to display, but with a  
transparent background so my background graphics remain intact.
