Possible reason is:
that you have bad SIMM or DIMM modules. Try to change them or to buy new.
I had such problems. Also check RAM position weather it is :
2*8Mb+2*16Mb
or smth like that. OSes love when all RAM is the same like
4*8Mb or 4*16Mb - depends on your motherboard.
