Disk Space for Upgrade to 4.0

I have Redhat 3.0.3 installed on a single 480 mb partition, with 148
mb free.  My question is: how much additional disk space will the
upgrade to Redhat 4.0 take; is my 148 mb enough for the upgrade?
Secondly, does the upgrade process replace the files which are
upgraded, erasing them, or leave the old ones somewhere on the disk?
I intend to purchase the official CD-ROM and upgrade from it.
