I would guess that you are quoting with double-quotes, right? This is
the way that bash attempts to quote the '!' character when doing file
name completion. Unfortunately, this doesn't work. You have to escape
it with a '\'. I reported this bug with bashbug about six months ago,
AFIK it hasn't been fixed.
