4.0 Broke my system! (sorta)

Help!

	I have just purchased 4.0 and upgraded a 3.03 system to 4.0 with
the new kernel (2.0.18 I believe).   Since installing the new kernel, it
will not recognize my ethernet card.  I have an ISA NE2000 compatible card
that is at 0x340 and using IRQ 5.  I was able to boot the system using the
older kernel (version 1.2.13) and it picks up the card during boot.  When
the 2.0 kernel boots, it tells me:  "delaying initialization of eth0."
Since my net access is via ethernet I really need the card to work in
order to get around the net.  This leads me to another problem in
searching for an answer to this question -  upon starting X, it boots
fine, but I cannot open up any more windows/xterms/programs.  The error I
see when I shut down X is:  "xterm:  no more available ptys"   I'm
desperate!  I am using an ASUS motherboard with a P100.  I have a
crappy 1MB Trident ISA video card that has worked fine with X in the past.
I also have a PCI ATI Expression and a Matrox Mystique at my disposal, but
I won't even go into how they performed when I tried to boot X using those
cards (that is another email entirely!)   The upgrade seemed to go
great without any major hitches, except for the two "biggies" mentioned
above.  I have tried to configure Metro-X, but the files that the RedHat
manual mentions for configuring Metro-X after installation are not on my
system.  I believe I chose to install everything during the upgrade so ANY
help is GREATLY appreciated. I'm not sure how I can search the RedHat
archives without a web browser (nothing will open or run inside X right
now).  Thanks to any and all who might respond!  I use X extensively for
my work and am quite lost trying to jump from Virtual Console to Virtual
Console!  I will gladly provide more information if any deems it
necessary.
